Paymesh Terms & Conditions (Consumer)

1. Who We Are (Entities and Roles)

The Paymesh experience is delivered through a structure that includes (a) a consumer-facing exchange interface (Paymesh) and (b) a regulated ramp provider (XBase) for supported “fiat ↔ digital asset” conversion transactions offered through the Site.

2. Service Allocation (What Each Entity Provides)

2.1 Paymesh Services (Site & Interface)

For each transaction or feature, the contracting Provider will be disclosed to you at checkout or at the point you enable the relevant Service. In many ramp flows, Paymesh provides the interface while XBase is the Provider responsible for the conversion leg. For voucher purchases, Paymesh provides the purchase flow, while voucher redemption and the underlying goods/services are provided by third parties (including Relm and its ecosystem participants) under their applicable terms.

3. Eligibility and Territorial Restrictions

You may only use the Services if:

We may restrict availability by country, payment method, instrument, risk tier, or product type at any time.

4. Consumer Use Only (No Business Use)

5. Account Registration and Security

To access certain Services, you must create a Paymesh account (your “Account”). You agree to:

6. Identity, Compliance and Verification (KYC/AML)

To comply with legal and card-network requirements and to manage fraud and financial crime risks, we (and/or XBase and our service providers) may require you to complete identity and other verification checks before you can use certain Services and on an ongoing basis.

9. Payment Methods, Authorizations, and Chargebacks

9.1 Payment Methods

Supported payment methods (cards, bank transfers, local payment rails, etc.) vary by location and product availability. You may only use a payment method you are authorized to use.

9.2 Authorizations

By submitting a transaction, you authorize the relevant Provider and its payment partners to charge, debit, or otherwise process your payment method for the full amount (including fees and taxes, if any).

9.3 Chargebacks, Reversals, and Failed Payments

If a payment is reversed, charged back, disputed, rejected, or otherwise fails after a transaction has been initiated or completed, we may:

Voucher purchases: If a voucher has been issued and delivered to you (e.g., displayed in-app, emailed, or otherwise made available for redemption), the voucher may be treated as “used/consumed” for payment dispute purposes even if you have not redeemed it with a third party. The availability of refunds (if any) will be disclosed at purchase and may depend on whether the voucher has been redeemed and the applicable voucher terms.

10. Ramp Transactions (Buying/Selling Digital Assets)

11. Wallet Services (Non-Custodial)

Where offered, Paymesh may provide non-custodial wallet features (a “Paymesh Wallet”):

You are solely responsible for safeguarding private keys/seed phrases, keeping your devices and authentication methods secure, and verifying destination addresses before transferring assets.

13. Voucher Services (Redeemable with Relm)

13.1 What a Voucher Is

Paymesh may offer you the ability to purchase a digital voucher (a “Voucher”) that is redeemable within the Relm ecosystem (and/or other disclosed partner ecosystems) for eligible goods and services.

Vouchers are not digital assets, cryptocurrencies, or securities. A Voucher is a digital code, token, or entitlement that may be redeemed with Relm (or its participating merchants/partners) subject to the Voucher Terms presented at the time of purchase and any partner terms.

13.2 Who Provides the Goods and Services

Redemption of a Voucher for goods and services occurs with Relm (or its ecosystem merchants/partners), not with Paymesh. Paymesh does not control and is not responsible for:

Voucher details (including value, eligible redemption channels, restrictions, and any expiry date) will be disclosed before you confirm purchase and/or in the voucher confirmation.

13.4 No Cash Value; No Transfer Unless Allowed

Unless expressly stated in the Voucher Terms, Vouchers have no cash value, are not redeemable for cash, and may not be resold, transferred, or assigned. Any attempted resale, transfer, or misuse may result in cancellation of the Voucher and/or Account restrictions.

13.5 Pricing, Fees, and Taxes

The price you pay for a Voucher, and any applicable fees or taxes, will be shown to you before you confirm purchase. You are responsible for any taxes associated with purchasing or redeeming a Voucher, subject to applicable law.

13.6 Refunds, Cancellations, and Disputes

Refund availability (if any) for Voucher purchases will be disclosed at the time of purchase and may depend on:

If you have an issue with redemption or with goods/services obtained through redemption, you should contact the relevant provider (Relm or the participating merchant) first. You may also contact Paymesh support for assistance in routing your request, but Paymesh cannot guarantee outcomes controlled by third parties.

13.7 Compliance, Fraud Controls, and Restrictions

Voucher purchases may be subject to fraud screening, transaction monitoring, and identity verification. We may suspend, refuse, or reverse (where possible) Voucher transactions if we reasonably suspect fraud, prohibited use, or compliance risk, or where required by law or payment partner rules.

19. Intellectual Property

The Site, Services, and all related content, trademarks, logos, and software are owned by Paymesh and/or its licensors. You may not copy, modify, distribute, reverse engineer, or create derivative works except as expressly permitted by law or written permission.

The Services may integrate or link to third-party services (payment processors, blockchain providers, wallet providers, voucher ecosystem providers, and merchants). We do not control third-party services and are not responsible for their acts or omissions. Your use of third-party services may be subject to their separate terms.

21. Disclaimers

To the maximum extent permitted by law, neither Paymesh nor XBase (nor their affiliates, officers, directors, employees, agents, or service providers) will be liable for:

You agree to indemnify and hold harmless Paymesh, XBase, and their affiliates and service providers from claims, losses, liabilities, and expenses arising from your breach of these Terms, misuse of Services (including Voucher misuse), or violation of law, except to the extent caused by our gross negligence or willful misconduct (where such limitation is permitted).

25. Governing Law and Jurisdiction

Because the Services are provided by different entities depending on the feature/transaction, governing law is allocated as follows:

Disputes relating to goods/services obtained via Voucher redemption may be subject to the terms, law, and forum of the relevant third-party provider (e.g., Relm and/or the participating merchant), subject to mandatory consumer protection law.

If mandatory consumer law in your country of residence provides you additional rights or forum protections, those rights remain unaffected.

26. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice via the Site and/or by electronic communication. Continued use of the Services after the effective date of revised Terms constitutes acceptance.

27. Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms to an affiliate or successor as part of a reorganization, merger, acquisition, or sale of assets.

28. Severability

If any provision is held invalid or unenforceable, the remainder will remain in effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable (where permitted).

31. Definitions (Selected)

“Account”
Your Paymesh consumer account used to access Services.
“Digital Asset”
A digital asset or token supported by the Services, including cryptocurrencies; it excludes securities or derivatives where prohibited or not supported.
“Ramp Services”
Fiat ↔ digital asset conversion and related execution/settlement services provided by XBase where offered.
“Voucher”
A digital voucher/code/entitlement purchased through Paymesh that is redeemable with Relm (and/or its ecosystem merchants/partners) for eligible goods and services, subject to Voucher Terms disclosed at purchase.
“Restricted Location”
Any jurisdiction sanctioned or prohibited under applicable sanctions regimes and any location where Services are not offered.
