Paymesh Terms & Conditions (Consumer)
Effective Date: April 1, 2025
Important Risk Notice: Digital assets (including cryptocurrencies) are volatile and high risk. You may lose some or all of the money you spend or invest. Please read Section 18 (Digital Asset Risk Disclosures) carefully.
VRPP / Card Network Role Disclosure: For eligible fiat ↔ digital asset conversion transactions made available through the Paymesh experience, XBase acts as the Ramp Provider and Paymesh acts as a Conversion Affiliate / affiliate exchange interface operating under contract with XBase for certain ramp journeys presented under the Paymesh brand.
Digital Voucher Notice: Paymesh may offer digital vouchers that are redeemable within a third-party ecosystem (including the Relm ecosystem). Voucher purchases are not digital asset transactions and voucher redemption is governed by the voucher terms and the third-party provider’s rules. See Section 13 (Voucher Services).
1. Who We Are (Entities and Roles)
The Paymesh experience is delivered through a structure that includes (a) a consumer-facing exchange interface (Paymesh) and (b) a regulated ramp provider (XBase) for supported “fiat ↔ digital asset” conversion transactions offered through the Site.
Company details
- XBASE DIGITAL UAB, a private limited liability company incorporated and existing under the laws of the Republic of Lithuania, with registered office at Naugarduko str. 3-401, Vilnius, Lithuania, company number 305943164 (“XBase”).
- PAYMESH LTDA, a company incorporated and existing under the laws of Brazil, with registered office at Av. Pres. Juscelino Kubitschek, 1545 - Vila Nova Conceição, São Paulo - SP, 04543-011, Brazil, company number 035261232010 (“Paymesh”).

- XBase acts as the Ramp Provider for eligible “fiat ↔ digital asset” conversion transactions made available through the Paymesh experience.
- Paymesh acts as a Conversion Affiliate / affiliate exchange interface operating under contract with XBase for certain ramp journeys presented under the Paymesh brand.
2. Service Allocation (What Each Entity Provides)
2.1 Paymesh Services (Site & Interface)
Paymesh provides:
- access to the Site and account interface;
- user experience features, customer support intake, and communications;
- non-custodial wallet tooling (where offered);
- digital voucher purchase features (where offered); and
- informational content and features that support your use of the Services.
2.2 XBase Services (Ramp / Conversion Services)
XBase provides (where offered to you and permitted by law):
- ramp services enabling you to buy or sell supported digital assets using supported payment methods (including cards and/or local payment methods, as available); and
- transaction execution, settlement workflows, and regulated/required compliance controls for the ramp conversion leg.
2.3 Third-Party Voucher Ecosystem Services (Relm)
Where Paymesh offers digital vouchers that are redeemable within the Relm ecosystem, Relm (or its ecosystem merchants/partners) is responsible for:
- acceptance and redemption of vouchers for eligible goods and services in its ecosystem;
- the availability, quality, delivery, return/refund policies (if any), and customer service for goods and services obtained through redemption; and
- any restrictions, expiry, redemption rules, and eligible merchant lists for the voucher program (as disclosed at purchase and/or in the voucher terms).
2.4 Who You Contract With
For each transaction or feature, the contracting Provider will be disclosed to you at checkout or at the point you enable the relevant Service. In many ramp flows, Paymesh provides the interface while XBase is the Provider responsible for the conversion leg. For voucher purchases, Paymesh provides the purchase flow, while voucher redemption and the underlying goods/services are provided by third parties (including Relm and its ecosystem participants) under their applicable terms.
3. Eligibility and Territorial Restrictions
You may only use the Services if:
- you are at least 18 years old (or the age of majority where you live, if higher);
- you are legally capable of entering into this Agreement; and
- you are not located in, resident in, or otherwise subject to restrictions in any jurisdiction where the Services are prohibited or restricted.
Restricted Locations and Sanctions
You may not use the Services if you are located in, or are ordinarily resident in, any jurisdiction subject to sanctions or prohibitions administered by OFAC, the United Nations, the European Union, the United Kingdom, or any other applicable sanctions authority, or if you are otherwise prohibited under applicable law.
We may restrict availability by country, payment method, instrument, risk tier, or product type at any time.
4. Consumer Use Only (No Business Use)
The Services are offered for personal/consumer use only. You may not use the Services on behalf of a business or other entity. For B2B products, contact Inquiries@pay-mesh.com.
5. Account Registration and Security
To access certain Services, you must create a Paymesh account (your “Account”). You agree to:
- provide accurate and complete information;
- keep your information current;
- maintain the confidentiality of your login credentials and any authentication methods; and
- promptly notify us if you suspect unauthorized access or misuse.
You are responsible for all activity that occurs through your Account, except where applicable law requires otherwise.
6. Identity, Compliance and Verification (KYC/AML)
To comply with legal and card-network requirements and to manage fraud and financial crime risks, we (and/or XBase and our service providers) may require you to complete identity and other verification checks before you can use certain Services and on an ongoing basis.
6.1 Information We May Request
We may request information such as:
- name, date of birth, address, nationality;
- government-issued ID and selfie/liveness checks (where applicable);
- email/phone verification;
- source of funds/source of wealth in higher-risk cases; and
- additional documents or explanations for transaction monitoring.
6.2 Screening and Monitoring
We may perform sanctions screening, PEP screening, fraud checks, and transaction monitoring. We may suspend or refuse transactions where required or where we reasonably suspect fraud, financial crime, sanctions exposure, or breach of these Terms.
6.3 Failure to Provide Information
If you do not provide requested information within required timeframes, we may restrict, suspend, or terminate your access to some or all Services.
7. Communications
You consent to receive communications electronically (e.g., through the Site, email, SMS/WhatsApp where enabled, or push notifications). These may include account notices, compliance requests, transaction confirmations, and policy updates.
8. Fees, Pricing, and Disclosures
Fees and pricing details will be disclosed to you before you confirm a transaction. Depending on the Service, fees may include:
- processing/service fees;
- network or blockchain fees (for digital asset transactions);
- spreads or conversion fees (for digital asset transactions);
- voucher program fees (where applicable and disclosed); and
- partner/ecosystem fees (where applicable and disclosed).
We may change fees from time to time, but your transaction will show the applicable fees before you authorize it.
9. Payment Methods, Authorizations, and Chargebacks
9.1 Payment Methods
Supported payment methods (cards, bank transfers, local payment rails, etc.) vary by location and product availability. You may only use a payment method you are authorized to use.
9.2 Authorizations
By submitting a transaction, you authorize the relevant Provider and its payment partners to charge, debit, or otherwise process your payment method for the full amount (including fees and taxes, if any).
9.3 Chargebacks, Reversals, and Failed Payments
If a payment is reversed, charged back, disputed, rejected, or otherwise fails after a transaction has been initiated or completed, we may:
- place your Account under review;
- suspend further transactions;
- request alternative settlement or repayment;
- set off amounts owed against refunds or other amounts payable to you (where lawful); and/or
- take lawful steps to recover amounts owed.
Where required, we will follow applicable consumer protection laws for dispute handling.
Voucher purchases: If a voucher has been issued and delivered to you (e.g., displayed in-app, emailed, or otherwise made available for redemption), the voucher may be treated as “used/consumed” for payment dispute purposes even if you have not redeemed it with a third party. The availability of refunds (if any) will be disclosed at purchase and may depend on whether the voucher has been redeemed and the applicable voucher terms.
10. Ramp Transactions (Buying/Selling Digital Assets)
10.1 Order Process
When you place a buy/sell order:
- you must review all details carefully (asset, amount, price quote, fees, payment method, destination address);
- once confirmed, orders may be irreversible and may not be cancelable except where required by law or where we void/refund due to compliance or fraud controls.
10.2 Quotes and Execution
Displayed quotes may be time-limited. Market volatility, liquidity, and operational constraints may affect execution. We do not guarantee execution at a specific time.
10.3 Holds, Delays, and Refusals
We may impose delays or holding periods to:
- manage fraud/chargeback exposure;
- ensure settlement finality for the fiat leg;
- comply with legal requirements; and
- satisfy card-network requirements.
We may refuse, suspend, redirect, or cancel a transaction if we reasonably believe it involves prohibited activity, fraud, sanctions exposure, or compliance risk.
10.4 Who Is the Seller / Merchant of Record
For each transaction, the contracting entity and/or merchant of record (as applicable) will be disclosed at checkout and/or in your confirmation and may appear in your payment method statement descriptor.
11. Wallet Services (Non-Custodial)
Where offered, Paymesh may provide non-custodial wallet features (a “Paymesh Wallet”):
- Non-custodial means you control the keys (directly or through user-controlled recovery methods).
- We do not custody your digital assets in a Paymesh Wallet and cannot recover assets if you lose access to your keys/seed phrase or send assets to the wrong address.
You are solely responsible for safeguarding private keys/seed phrases, keeping your devices and authentication methods secure, and verifying destination addresses before transferring assets.
12. Third-Party Wallets and Destination Addresses
If you provide a third-party wallet address for receipt of digital assets:
- you represent that you control that address (or are authorized to use it);
- you are responsible for ensuring the address is correct and compatible (network/asset); and
- mistaken or incompatible transfers may be irreversible and unrecoverable.
13. Voucher Services (Redeemable with Relm)
13.1 What a Voucher Is
Paymesh may offer you the ability to purchase a digital voucher (a “Voucher”) that is redeemable within the Relm ecosystem (and/or other disclosed partner ecosystems) for eligible goods and services.
Vouchers are not digital assets, cryptocurrencies, or securities. A Voucher is a digital code, token, or entitlement that may be redeemed with Relm (or its participating merchants/partners) subject to the Voucher Terms presented at the time of purchase and any partner terms.
13.2 Who Provides the Goods and Services
Redemption of a Voucher for goods and services occurs with Relm (or its ecosystem merchants/partners), not with Paymesh. Paymesh does not control and is not responsible for:
- the availability, quality, safety, legality, or delivery of goods and services obtained through redemption;
- the policies of Relm or ecosystem merchants (including returns, refunds, cancellations, and customer service);
- any changes to eligible merchants, eligible goods/services, or redemption rules made by Relm or its partners.
13.3 Voucher Delivery, Redemption Rules, and Expiry
Voucher details (including value, eligible redemption channels, restrictions, and any expiry date) will be disclosed before you confirm purchase and/or in the voucher confirmation.
- Once issued, the Voucher is made available to you via the Site/app and/or delivered to your registered email/Account area.
- You are responsible for safeguarding Voucher codes and ensuring they are not shared with unauthorized parties.
- Redemption may require you to create or use an account with Relm or a participating merchant.
13.4 No Cash Value; No Transfer Unless Allowed
Unless expressly stated in the Voucher Terms, Vouchers have no cash value, are not redeemable for cash, and may not be resold, transferred, or assigned. Any attempted resale, transfer, or misuse may result in cancellation of the Voucher and/or Account restrictions.
13.5 Pricing, Fees, and Taxes
The price you pay for a Voucher, and any applicable fees or taxes, will be shown to you before you confirm purchase. You are responsible for any taxes associated with purchasing or redeeming a Voucher, subject to applicable law.
13.6 Refunds, Cancellations, and Disputes
Refund availability (if any) for Voucher purchases will be disclosed at the time of purchase and may depend on:
- whether the Voucher has been redeemed (in whole or in part);
- fraud and chargeback risk controls; and
- any applicable partner/Voucher Terms.
If you have an issue with redemption or with goods/services obtained through redemption, you should contact the relevant provider (Relm or the participating merchant) first. You may also contact Paymesh support for assistance in routing your request, but Paymesh cannot guarantee outcomes controlled by third parties.
13.7 Compliance, Fraud Controls, and Restrictions
Voucher purchases may be subject to fraud screening, transaction monitoring, and identity verification. We may suspend, refuse, or reverse (where possible) Voucher transactions if we reasonably suspect fraud, prohibited use, or compliance risk, or where required by law or payment partner rules.
14. NFTs (If Offered)
If NFT features are offered:
- NFT transactions may be irreversible;
- we do not guarantee authenticity, value, rarity, or utility of any NFT; and
- you are solely responsible for evaluating risks and verifying seller claims.
Network congestion or blockchain failures may cause transaction delays or failures.
15. Prohibited Use
You may not use the Services for:
- unlawful activity, sanctions evasion, money laundering, terrorist financing;
- fraud, chargeback abuse, identity falsification, or deceptive conduct;
- activity that harms or interferes with the Site or other users;
- unauthorized access, scraping, reverse engineering, or introducing malware;
- transactions involving illegal goods/services, stolen goods, or prohibited weapons;
- unlawful gambling or other activities prohibited by applicable law;
- misuse of Vouchers, including resale, unauthorized transfer, harvesting, or redemption circumvention; and
- any use that violates card network rules, payment partner rules, voucher partner rules, or compliance requirements.
We may investigate suspected breaches and may suspend or terminate access accordingly.
16. Suspension, Termination, and Account Closure
We may suspend, restrict, or terminate your access to some or all Services if:
- you breach these Terms;
- you fail to complete verification;
- we reasonably suspect fraud, financial crime, sanctions exposure, Voucher misuse, or prohibited use;
- required by law, regulator, card network, or payment partner; or
- necessary to protect the integrity of our platform and users.
You may request to close your Account, subject to completion of pending transactions, compliance holds, legal obligations, and settlement finality.
17. Taxes
You are responsible for determining and paying any taxes that apply to your use of the Services (including Voucher purchases and redemptions, and digital asset transactions). We do not provide tax advice.
18. Digital Asset Risk Disclosures
Digital assets are volatile and high risk. By using ramp or wallet services, you acknowledge:
- prices can move rapidly and unpredictably;
- you may lose some or all of your funds;
- blockchain transactions can be irreversible;
- errors (wrong address, wrong network) can cause permanent loss;
- regulatory changes can restrict or affect services, transfers, and asset value;
- third-party networks and protocols can fail, fork, or be attacked; and
- we do not provide investment, legal, or tax advice.
You should only transact if you understand and can bear the risks.
19. Intellectual Property
The Site, Services, and all related content, trademarks, logos, and software are owned by Paymesh and/or its licensors. You may not copy, modify, distribute, reverse engineer, or create derivative works except as expressly permitted by law or written permission.
20. Third-Party Services and Links
The Services may integrate or link to third-party services (payment processors, blockchain providers, wallet providers, voucher ecosystem providers, and merchants). We do not control third-party services and are not responsible for their acts or omissions. Your use of third-party services may be subject to their separate terms.
21. Disclaimers
To the maximum extent permitted by law:
- Services are provided “as is” and “as available”;
- we do not warrant uninterrupted or error-free operation;
- we do not warrant that prices, quotes, voucher availability, or data are always accurate or current; and
- we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, except where prohibited by law.
Nothing in these Terms excludes non-excludable consumer rights.
22. Limitation of Liability
To the maximum extent permitted by law, neither Paymesh nor XBase (nor their affiliates, officers, directors, employees, agents, or service providers) will be liable for:
- indirect, incidental, special, consequential, punitive, or exemplary damages;
- lost profits, lost revenue, loss of goodwill, or loss of data;
- losses caused by blockchain failures, forks, network congestion, or third-party service failures;
- losses from unauthorized access where you failed to secure credentials/devices; or
- losses caused by regulatory changes or force majeure events.
Where liability cannot be excluded, it will be limited to the minimum amount required by law.
23. Indemnity
You agree to indemnify and hold harmless Paymesh, XBase, and their affiliates and service providers from claims, losses, liabilities, and expenses arising from your breach of these Terms, misuse of Services (including Voucher misuse), or violation of law, except to the extent caused by our gross negligence or willful misconduct (where such limitation is permitted).
24. Complaints and Support

We may route your complaint to the relevant Provider:
- Ramp/transaction execution and settlement: typically handled by XBase (with Paymesh facilitating intake and updates).
- Site/account UI and Paymesh Wallet tooling: handled by Paymesh.
- Voucher redemption and underlying goods/services: handled by Relm and/or the relevant ecosystem merchant/partner (with Paymesh facilitating intake and routing where appropriate).
25. Governing Law and Jurisdiction
Because the Services are provided by different entities depending on the feature/transaction, governing law is allocated as follows:
- Ramp Services (XBase): governed by the laws of the Republic of Lithuania. Courts of Vilnius, Lithuania have jurisdiction over disputes relating specifically to XBase-provided Ramp Services, subject to mandatory consumer protection law.
- Paymesh Site/Interface, Paymesh Wallet tooling, and Voucher purchase flow provided by Paymesh: governed by the laws of Brazil. Courts of São Paulo, Brazil have jurisdiction over disputes relating specifically to Paymesh-only Services, subject to mandatory consumer protection law.
Disputes relating to goods/services obtained via Voucher redemption may be subject to the terms, law, and forum of the relevant third-party provider (e.g., Relm and/or the participating merchant), subject to mandatory consumer protection law.
If mandatory consumer law in your country of residence provides you additional rights or forum protections, those rights remain unaffected.
26. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice via the Site and/or by electronic communication. Continued use of the Services after the effective date of revised Terms constitutes acceptance.
27. Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms to an affiliate or successor as part of a reorganization, merger, acquisition, or sale of assets.
28. Severability
If any provision is held invalid or unenforceable, the remainder will remain in effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable (where permitted).
29. Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and the relevant Provider(s) regarding the Services and supersede prior understandings.

31. Definitions (Selected)
- “Account”
- Your Paymesh consumer account used to access Services.
- “Digital Asset”
- A digital asset or token supported by the Services, including cryptocurrencies; it excludes securities or derivatives where prohibited or not supported.
- “Ramp Services”
- Fiat ↔ digital asset conversion and related execution/settlement services provided by XBase where offered.
- “Voucher”
- A digital voucher/code/entitlement purchased through Paymesh that is redeemable with Relm (and/or its ecosystem merchants/partners) for eligible goods and services, subject to Voucher Terms disclosed at purchase.
- “Restricted Location”
- Any jurisdiction sanctioned or prohibited under applicable sanctions regimes and any location where Services are not offered.
